Terms of Service

These Terms of Service ("Terms") are an agreement between you and Rooms Technologies LLC, a Wyoming limited liability company ("RoomsAI", "we", "us"). They apply to the RoomsAI mobile apps, the website at myrooms.app, and all related services (together, the "Service"). By creating an account or using the Service, you agree to these Terms, the Privacy Policy, the Refund Policy, and the Community Guidelines.

1. Who can use RoomsAI

You must be at least 13 years old to use the Service. You must be at least 18, or the age of majority where you live, to buy Orbs, subscribe to Premium, sell products, or receive earnings. If you are between 13 and 18, you may use the Service only with the permission of a parent or guardian, who agrees to these Terms on your behalf. You may not use the Service if you have been banned from it or are barred by law.

2. Your account

Keep your login details secure and tell us right away if someone else uses your account. You are responsible for activity on your account. Information you give us must be accurate. You may not sell, transfer, or share your account, or create accounts to get around a suspension.

3. Your content

You own what you post — videos, lives, posts, Stories, messages, courses, and other material ("Your Content"). You give RoomsAI a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, stream, distribute, adapt (for example, resizing or transcoding), and promote Your Content in order to run, improve, and market the Service. This license ends when you delete Your Content or your account, except for copies other users have saved or shared, copies kept for legal reasons, and reasonable backup periods.

You confirm that you have the rights to everything you post, including music, images, and the likeness of anyone who appears in it.

4. Conduct and zero tolerance

We have zero tolerance for objectionable content and abusive users. You may not post or stream content, or behave in a way, that violates the Community Guidelines, including sexual content involving minors, nudity or sexual content, harassment, hate, threats or violence, self-harm promotion, illegal goods, scams, spam, or infringement of others' rights. You may not hack, scrape, overload, reverse engineer, or interfere with the Service, or manipulate gifts, battles, rankings, or payments.

Every user can report content and accounts from inside the app. We review reports and remove violating content within 24 hours, and we may suspend or permanently ban the accounts responsible.

5. Live streams, battles and calls

Lives, battles, and calls happen in real time. You are responsible for what appears and is said on your stream, including from guests you bring on stage. We may end a live, remove a participant, or restrict live features at any time to enforce these Terms. Do not record or rebroadcast other people's streams or calls without their permission.

6. Orbs, Gems and virtual items

Orbs are a virtual currency you buy to use inside the Service — for gifts, entry to priced rooms, and paid content. Orbs are a limited, non-transferable, revocable license to use a feature of the Service. They are not money, have no cash value, cannot be exchanged for cash or anything outside the Service, and cannot be transferred or sold except through features we provide. Orb prices are shown before purchase.

Gems are credits creators receive when other users spend Orbs on them. Gems are not money either; eligible creators may request a payout of Gems through Stripe under the creator terms below.

Orbs and Gems do not expire while your account is active. They are lost if your account is deleted or terminated for violating these Terms. We may change how Orbs, Gems, and virtual items work, including prices and exchange rates, with notice where required by law. If we discontinue the Service, we will give at least 30 days' notice.

7. Purchases and subscriptions

Purchases are made through Apple's App Store, Google Play, or our payment processor Stripe. The platform you buy through processes your payment under its own terms. All sales are final except as stated in the Refund Policy or required by law.

Premium is an auto-renewing subscription. It renews at the end of each period at the then-current price unless you cancel at least 24 hours before renewal. Cancel through the App Store or Google Play subscription settings, or through the link in your Stripe receipt if you subscribed on the web. Cancelling stops future renewals; you keep access until the end of the paid period.

If a payment is reversed, refunded, or charged back, we may remove the Orbs, Gems, subscription, or access tied to it. If those Orbs were already spent, your Orb balance may go negative until it is repaid by future purchases.

8. Creators, products and payouts

If you sell access to a room, paid content, courses, coaching, eBooks, or other products ("Creator Offerings"), you are the seller and are responsible for delivering what you describe, for its accuracy, and for following applicable law. RoomsAI provides the platform and collects payment in Orbs.

For room entry, creators receive 70% of the Orbs spent and RoomsAI keeps 30% as a platform fee. The share for each type of earning is shown in the app. To receive payouts you must be at least 18, connect a Stripe account, and pass Stripe's verification; Stripe's own Connected Account Agreement applies. We may hold, reduce, or reverse earnings tied to refunds, chargebacks, fraud, or violations of these Terms, and may withhold payouts while we investigate. You are responsible for your own taxes.

9. Orb, the AI assistant

Orb uses artificial intelligence to generate text, images, video, audio, and suggestions. AI output can be wrong, incomplete, or similar to content created for others. Review it before relying on or publishing it. Do not use Orb to create content that violates these Terms or anyone's rights. Usage limits for each plan are shown in the app. Subject to these Terms and the rights of others, you may use what Orb creates for you.

10. Copyright complaints

We respond to notices of alleged copyright infringement under the U.S. Digital Millennium Copyright Act. Send notices to [email protected] with the subject "Copyright notice", including: the work you claim is infringed, the location of the infringing material in the Service, your contact details, a statement of good-faith belief that the use is unauthorized, a statement under penalty of perjury that your notice is accurate and that you are the owner or authorized to act for the owner, and your physical or electronic signature. We terminate repeat infringers.

11. Our rights in the Service

RoomsAI, its software, design, logos, and features belong to Rooms Technologies LLC and its licensors. We give you a personal, non-exclusive, non-transferable, revocable license to use the Service as these Terms allow. Feedback you send us may be used without obligation to you.

12. Suspension and termination

You can stop using the Service and delete your account at any time. We may suspend or terminate your account, remove content, or restrict features if you violate these Terms, create risk or legal exposure for us or others, or if required by law. Sections that by their nature should survive termination will survive.

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT CONTENT FROM OTHER USERS OR AI OUTPUT IS ACCURATE OR SAFE. WE ARE NOT RESPONSIBLE FOR CREATOR OFFERINGS OR USER CONDUCT.

14. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ROOMS TECHNOLOGIES LLC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR $100. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITS, SO THEY MAY NOT APPLY TO YOU.

15. Indemnity

You agree to defend and indemnify Rooms Technologies LLC against claims, losses, and costs (including reasonable attorneys' fees) arising from Your Content, your Creator Offerings, or your violation of these Terms or the law.

16. Disputes and governing law

Before filing a claim, contact us at [email protected] so we can try to resolve it informally within 60 days. These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules. Any dispute not resolved informally will be brought exclusively in the state or federal courts located in Wyoming, and you and we consent to their jurisdiction, except that either party may bring an individual claim in small claims court. To the extent permitted by law, claims must be brought individually and not as part of a class action.

17. Apple and Google

If you downloaded the app from the Apple App Store, you acknowledge that these Terms are between you and RoomsAI, not Apple; Apple is not responsible for the app or its content, has no obligation to provide support, and is not responsible for any product claims. If the app fails to conform to an applicable warranty, you may notify Apple for a refund of the purchase price, if any, and Apple has no other warranty obligation. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. Google Play purchases are subject to Google Play's terms.

18. Changes to these Terms

We may update these Terms. If a change is material, we will notify you in the app or by email before it takes effect. Continuing to use the Service after the effective date means you accept the updated Terms.
